A General Counsel Invested in Your Business, Not Your Hourly Bill
Most SaaS companies manage legal by calling outside counsel when something goes wrong. The problem with that model is not just the cost — it is that your lawyer does not know your business. Every matter starts from scratch.
Scott Palmer works differently. As your fractional General Counsel, he attends the meetings, reviews the contracts, and builds the understanding of your company that makes legal judgment useful — not just technically correct, but aligned with how your business actually operates and what it is trying to accomplish.
In-House Background
Before founding Scopal Firm, Scott spent more than seven years as VP, General Counsel, and Corporate Secretary of uPerform, a PE-backed healthcare SaaS company. He managed the company's legal function through the full lifecycle of a portfolio company — from day-to-day commercial contracting and employment matters to board governance, investor relations, and eventual exit planning.
Earlier in his career, Scott served as Staff and Associate Counsel at Ancile Solutions, Inc., where he managed IP and trademark matters, negotiated Fortune 100 software licenses, MSAs, SOWs, and SaaS agreements, and developed the company's Global Policy Handbook.
That in-house background is the core of what Scopal Firm delivers. Scott brings GC-level judgment — the perspective of someone who has been the lawyer in the room, in the meetings, and on the board calls — to companies that need that judgment without the cost of a full-time hire.
Focus Areas
Scott focuses on the legal needs of SaaS and technology companies: commercial contracting, data privacy and security, AI governance, corporate structure and governance, risk management, and fractional General Counsel services. He also advises AI software clients on LLM integration, contract review, and the implementation of AI policies and procedures.
Scopal Firm is an AI-native practice — Scott uses current technology to deliver faster, more consistent legal work than a traditional practice.
